1. Agreement to Terms

Welcome to Nubia Studio. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," "user") and Nubia Studio (Pty) Ltd ("Nubia Studio," "we," "our," "us") governing your access to and use of Nubia Studio's AI-powered video generation platform, including our website, applications, services, and related technologies (collectively, the "Platform" or "Service").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

These Terms apply to all users of the Platform, including visitors, registered users, subscribers, and any person or entity accessing the Service.

2. About Nubia Studio

Nubia Studio is an AI-powered video generation platform that enables users to create videos using text prompts and artificial intelligence technology. While we are based in South Africa, our platform is accessible and available to users worldwide.

Platform Capabilities:

• Text-to-video generation using AI models
• Customizable video parameters and settings
• Credit-based generation system
• User account and subscription management
• Generation history and content library

3. Eligibility and Account Requirements

3.1 Age Requirements

Minimum Age: You must be at least 13 years of age, or the minimum age required in your jurisdiction to form a binding contract, whichever is higher, to use Nubia Studio.

Regional Variations:

• European Union: 16 years (or as required by your country)
• United States: 13 years (COPPA compliance)
• South Africa: 13 years (recommended minimum)
• Other jurisdictions: Minimum age as required by local law

Parental Consent: If you are under 18 years of age (or the age of majority in your jurisdiction), you must have permission from a parent or legal guardian, and your parent or guardian must review and agree to these Terms. We may request proof of parental consent.

Age Verification: We reserve the right to request proof of age at any time, verify age through identification documents, terminate accounts that violate age requirements, and report violations to appropriate authorities.

3.2 Account Registration

Account Creation - To access certain features, you must create an account by providing:

• Valid email address
• Name (as required by authentication provider)
• Authentication through Google OAuth or other supported methods
• Acceptance of these Terms and Privacy Policy

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any security breach
• Using strong passwords and security practices

3.3 Account Termination

You may terminate your account at any time through account settings or by contacting [email protected]. We may suspend or terminate your account for violations of these Terms, illegal activities, or other reasons outlined in these Terms. Upon termination, unused credits are forfeited and access to content ends.

4. Subscription Plans, Credits, and Pricing

4.1 Subscription Tiers

4.2 Credits System

Each video generation consumes one credit. Credits never expire and roll over between billing periods. Failed generations do not consume credits. Upon subscription cancellation, unused credits are forfeited.

4.3 Payment Terms

Subscriptions are billed monthly in South African Rand (ZAR). Payments are processed securely through our payment processor. All payment data is handled in accordance with PCI DSS standards. You are responsible for all applicable taxes.

4.4 Refund Policy

We offer a 7-day refund policy for new subscriptions. Refunds are available for first-time purchases of each tier and must be requested within 7 calendar days. Refunds are processed within 10-14 business days. No refunds for subscriptions older than 7 days, renewals, or violations of Terms.

5. Content Ownership and Intellectual Property

5.1 Your Content

You retain ownership of text prompts and input you provide. By submitting content, you grant us a license to process it for video generation and service improvement (anonymized and aggregated).

5.2 Generated Videos - Ownership Rights

FREE TRIAL USERS:

Limited license for personal/non-commercial use only. You must credit Nubia Studio when sharing publicly. No commercial use permitted.

PAID TIER USERS:

You own all rights to generated videos with full commercial usage rights. No attribution required. You may edit, modify, distribute, and monetize freely.

5.3 Platform Intellectual Property

Nubia Studio owns all rights to the Platform, AI models, algorithms, interface, and branding. You may not reverse engineer, copy, or create derivative works of the Platform.

5.4 Copyright Infringement - DMCA

To report copyright infringement, email [email protected] with subject "DMCA Copyright Infringement Notice" and include identification of the copyrighted work, location of infringing material, and your contact information.

6. Acceptable Use Policy

6.1 Prohibited Content

You may NOT create content involving:

• Child Safety Violations: CSAM, child exploitation, or content depicting minors inappropriately (ZERO TOLERANCE - immediate termination)
• Illegal Content: Content violating laws or promoting illegal activities
• Violence: Graphic violence, gore, or content promoting harm
• Hate Speech: Content promoting hatred based on protected characteristics
• Sexual Content: Pornographic or sexually explicit material
• Deception: Deepfakes without consent, fraud, or misleading content
• Spam: Unsolicited marketing or malicious content

6.2 Prohibited Activities

You may NOT:

• Circumvent usage limits or security measures
• Use automated tools without authorization
• Reverse engineer or extract AI models
• Create multiple accounts to abuse trials
• Attempt unauthorized access to systems
• Impersonate others or misrepresent affiliations

6.3 Enforcement

Violations result in warnings, temporary suspension, or permanent termination. Severe violations (CSAM, violence, illegal activity) result in immediate termination and law enforcement reporting. We cooperate fully with law enforcement.

7. Disclaimers and Limitations of Liability

7.1 Service Availability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES. We do not guarantee uninterrupted, error-free service. We may modify, suspend, or discontinue features at any time without notice.

7.2 AI-Generated Content

AI-generated videos may contain errors, inaccuracies, visual artifacts, biases, or resemblance to copyrighted content. Our AI models may produce unexpected results and cannot guarantee factual accuracy or originality. You are solely responsible for reviewing content before use and ensuring compliance with laws.

7.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) R100.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

7.4 Indemnification

You agree to indemnify and hold harmless Nubia Studio from claims arising from your use of the Platform, violation of these Terms, or violation of third-party rights.

8. Dispute Resolution and Governing Law

8.1 Governing Law

These Terms are governed by the laws of the Republic of South Africa. International users acknowledge that South African law applies.

8.2 Jurisdiction

You consent to the exclusive jurisdiction of courts in Johannesburg, Gauteng, South Africa for resolution of disputes.

8.3 Informal Resolution

Before formal proceedings, contact [email protected] to attempt informal resolution through good faith negotiations for at least 30 days.

8.4 Time Limitation

Any claim must be filed within ONE (1) YEAR after the claim arose, or be forever barred.

9. Third-Party Services

The Platform relies on third-party services including authentication services (Google OAuth), payment processing, cloud infrastructure, and analytics providers. Your use of third-party services is subject to their terms. We are not responsible for third-party failures or changes.

10. International Use

While available globally, features may vary by region. You are responsible for compliance with laws in your jurisdiction and determining whether Platform use is legal where you are located. Primary language is English, primary currency is ZAR.

11. Force Majeure

We are not liable for delays or failures resulting from circumstances beyond our control, including natural disasters, war, internet failures, power outages, or cyberattacks. During such events, service may be limited and we will make reasonable efforts to restore service.

12. Privacy and Data Protection

Your use is governed by our Privacy Policy. We collect necessary information, protect data with industry-standard security, and comply with POPIA and international privacy laws. You have rights to access, correct, and delete your data. We use data to improve AI models (anonymized and aggregated).

13. Modifications to Terms and Service

We may modify these Terms at any time with 30 days' notice for material changes. Continued use after changes constitutes acceptance. We may also modify, suspend, or discontinue features, change pricing, or update AI models with reasonable notice when possible.

14. General Provisions

These Terms constitute the entire agreement. If any provision is invalid, the remaining provisions remain in effect. Our failure to enforce any provision does not constitute a waiver. You may not assign these Terms without our consent. We may assign to affiliates or in connection with business transactions.

Notices to you may be sent by email. Notices to us should be sent to [email protected]. These Terms are drafted in English; the English version controls.

15. Acknowledgment and Acceptance

By using Nubia Studio, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy. You meet eligibility requirements, will use the Platform in compliance with these Terms and applicable laws, understand limitations regarding AI-generated content, and are responsible for your use of generated content.
